These Terms of Service ("Terms") govern your access to and use of truenorthgranola.com (the "Site") and the products and services offered by Old School & Real, Inc., doing business as True North Granola ("True North Granola," "we," "us," or "our").
Please read these Terms carefully. They include important provisions, including a binding arbitration agreement and class action waiver in Section 17, that affect your legal rights.
By using the Site, creating an account, or placing an order, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Site.
1. Eligibility
You must be at least 18 years old and able to form a legally binding contract to place an order or create an account. By using the Site, you represent and warrant that you meet these requirements. The Site is not directed to children under 13, and we do not knowingly collect personal information from anyone under 13.

If you create an account, you are responsible for:

Notifying us promptly of any unauthorized access
We may suspend or terminate your account at our discretion if we believe you have violated these Terms.
3. Orders and Pricing
Order Acceptance
Your order is an offer to buy. We accept your order when we send a shipping confirmation email. Until then, we may decline or cancel any order for any reason, including:

Suspected fraud

Inability to ship to the requested address
Pricing
All prices are in U.S. dollars. We may change prices at any time before order acceptance. Sales tax is added where applicable based on your shipping address. Despite our best efforts, prices on the Site may occasionally contain errors. If a product is listed at an incorrect price, we may cancel any order placed at that price, whether or not the order has been confirmed and your payment processed. In that event, we will refund any amount charged.
Promotional Codes
Promotional codes are subject to additional terms posted at the time of the promotion. Unless otherwise stated, codes:

Payment
You authorize us to charge the payment method you provide for the total order amount, including taxes and shipping. We accept payment through Shopify Payments, Apple Pay, Google Pay, and Square. Your payment information is processed by our payment providers and is not stored on our servers. See our Privacy Policy for details.
Wholesale Orders
These Terms govern direct-to-consumer purchases on the Site. Wholesale, distributor, and bulk orders are governed by separate agreements and invoice terms. Contact info@truenorthgranola.com for wholesale inquiries.
4. Shipping and Delivery
We ship domestically within the United States. International orders are accepted on a case-by-case basis; contact us before placing an international order.
Shipping fees and estimated delivery times are displayed at checkout. Delivery times are estimates and not guarantees. Title and risk of loss pass to you upon delivery to the carrier.
We are not responsible for delays caused by carriers, weather, customs, or other events outside our control. For lost or damaged shipments, contact us within 14 days of the shipment date.
5. Returns and Refunds
Our refund and return practices are described in our Refund Policy, which is incorporated into these Terms by reference. Because we sell perishable food products, certain return restrictions apply. Contact us at info@truenorthgranola.com within 14 days of delivery to initiate a return or report a problem with your order.
6. Subscription Program
Some products on the Site are offered through a subscription that automatically delivers and bills on a recurring schedule ("Subscription"). By enrolling in a Subscription, you authorize us to charge your payment method on file at the frequency you selected until you cancel.
Subscription Terms You Agree To

Recurring charges. Your payment method will be charged automatically before each scheduled shipment, at the price displayed at enrollment plus applicable taxes and shipping. Subscription prices may change with notice; price changes apply only to future shipments.

Frequency. You select the delivery frequency at enrollment (e.g., monthly, every 2 months). You may change frequency in your account.

Confirmation. After enrollment, you will receive an email confirming your Subscription terms, including price, frequency, and how to cancel.

Reminders. Where required by law, we will send a reminder before each charge.

Cancellation. You may cancel your Subscription at any time by signing into your account and selecting "Cancel," or by emailing info@truenorthgranola.com. Cancellation takes effect for future shipments only.

No refunds for shipped orders. Charges for Subscription shipments that have already been processed and shipped are not refundable except as required by law or our Refund Policy.

Pause or skip. You may pause or skip a shipment from your account at any time before the next charge date.
Modification or Termination of the Subscription Program
We may modify, suspend, or terminate the Subscription program (or any individual Subscription) at any time with reasonable notice. If we materially change the terms of your Subscription, we will notify you and you may cancel before the change takes effect.
7. Product Information, Allergens, and Food Safety
We make every reasonable effort to provide accurate product descriptions, ingredient lists, nutrition information, and allergen statements on the Site. However:

Allergen warning. Our products are produced in a facility where nuts (almonds, cashews, pecans, pistachios, macadamias), coconut, sesame, wheat, milk, and pea protein are used. Despite our cleaning and segregation practices, cross-contact with these allergens is possible.

Naturally occurring items. Packages may contain naturally occurring items such as stems, pits, or shell fragments.

Ingredient changes. Suppliers occasionally change ingredient sourcing. The packaging in your hands is the controlling source of allergen and ingredient information. Always read the label before consuming, especially if you have a food allergy or sensitivity.

Not medical advice. Information on the Site about ingredients, nutrition, or wellness is for general informational purposes only and is not medical or dietary advice. Consult a qualified professional before making decisions based on health conditions, allergies, or dietary restrictions.

No disease claims. Our products are foods, not medical treatments. Statements on the Site have not been evaluated by the FDA. Our products are not intended to diagnose, treat, cure, or prevent any disease.
If you experience an adverse reaction to a product, stop consumption immediately, seek medical attention as needed, and contact us at info@truenorthgranola.com.
8. User Content
The Site may allow you to submit content, including product reviews, photos, comments, or other materials ("User Content"), through Reviews.io or directly to us.
License to Use Your Content
By submitting User Content, you grant True North Granola a non-exclusive, royalty-free, worldwide, perpetual, transferable, sublicensable license to use, reproduce, modify, adapt, publish, display, and distribute that content in any media and for any purpose related to our business, including marketing and advertising. You waive any moral rights to the extent permitted by law.
You retain ownership of your User Content but understand we may continue to use it under this license after you delete it from the Site.
Your Representations
By submitting User Content, you represent that:

You own or have the rights to the content

The content does not infringe any third party's rights

The content is accurate, not misleading, and not defamatory

The content does not contain personal information about third parties without consent
Our Rights
We may, but are not obligated to, monitor, edit, or remove User Content at our discretion. We may edit submissions for formatting, length, or clarity while preserving their meaning.
9. Our Intellectual Property
The Site and all content on it, including the True North Granola name and logo, product names, recipes, photography, copy, graphics, design, and software, are owned by or licensed to True North Granola and are protected by U.S. and international intellectual property laws.
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for personal, non-commercial purposes. You may not:

Copy, modify, or distribute Site content without our permission

Use our trademarks without our written permission

Use any data mining, scraping, or automated extraction tools on the Site

Reverse engineer or attempt to derive source code from the Site

10. Prohibited Uses
You agree not to:

We may investigate violations and cooperate with law enforcement.
11. Third-Party Services and Links
The Site may contain links to third-party websites and use third-party services (including payment processors, shipping carriers, review platforms, and analytics providers). We are not responsible for the content, policies, or practices of any third party. Your use of third-party services is subject to their terms and privacy policies.
12. Disclaimers
THE SITE AND OUR PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, EXCEPT AS REQUIRED BY LAW.
To the maximum extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.
We do not warrant that:

The Site will be uninterrupted, secure, or error-free

Product descriptions, images, or other Site content are accurate, complete, or current

Defects on the Site will be corrected

The Site or its servers are free of viruses or harmful components
Nothing in these Terms excludes or limits any warranty or right that cannot be excluded or limited under applicable law, including the implied warranties under the Magnuson-Moss Warranty Act, state consumer protection laws, or applicable food safety laws.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRUE NORTH GRANOLA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR OUR PRODUCTS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS, THE SITE, OR OUR PRODUCTS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability is limited to the greatest extent permitted by law. Nothing in these Terms limits liability for personal injury caused by our negligence, fraud, or any other liability that cannot be limited under applicable law.

You agree to indemnify, defend, and hold harmless True North Granola and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from:

Your misuse of the Site or our products
We reserve the right to assume the exclusive defense of any matter for which you are required to indemnify us. You will cooperate with our defense.
15. Force Majeure
We are not liable for any failure or delay in performing our obligations under these Terms when caused by events outside our reasonable control, including acts of God, natural disasters, pandemics, war, terrorism, civil unrest, labor disputes, supplier or carrier delays, ingredient or material shortages, government actions, utility or network failures, or other force majeure events.
16. Termination
We may suspend or terminate your access to the Site or your account at any time, with or without notice, for any reason, including violation of these Terms. Upon termination, your right to use the Site ends immediately. Provisions that by their nature should survive termination (including Sections 8, 9, 12, 13, 14, 17, and 18) will survive.
17. Dispute Resolution and Arbitration
Please read this section carefully. It affects your legal rights.
Informal Resolution First
Before filing any formal claim, you agree to contact us at info@truenorthgranola.com and attempt to resolve the dispute informally for at least 60 days.
Binding Arbitration
If we cannot resolve the dispute informally, you and True North Granola agree to resolve any dispute arising out of or related to these Terms, the Site, or our products through binding individual arbitration, not in court, except as set forth below.

Arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.

The arbitration will be conducted in Brattleboro, Vermont, or another mutually agreed location, or by telephone or video where appropriate.

The arbitrator's decision is final and binding and may be enforced in any court of competent jurisdiction.

The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement.
Class Action Waiver
You and True North Granola agree that any dispute will be resolved on an individual basis. You waive any right to participate in a class action, class arbitration, consolidated action, or representative action. If a court finds this class action waiver unenforceable, the remainder of this arbitration agreement is void and disputes will be resolved in court (subject to the governing law in Section 18).
Exceptions

Either party may bring an individual claim in small claims court if it qualifies.

Either party may seek injunctive relief in court to protect intellectual property rights.
30-Day Opt-Out
You may opt out of this arbitration agreement by emailing info@truenorthgranola.com with "Arbitration Opt-Out" in the subject line within 30 days of first accepting these Terms. Your opt-out must include your name, address, and email. Opting out does not affect any other part of these Terms.
18. Governing Law
These Terms are governed by the laws of the State of Vermont, without regard to its conflict-of-laws principles. Subject to Section 17, any action not subject to arbitration must be brought in the state or federal courts located in Vermont, and you consent to the personal jurisdiction of those courts.
19. California Users — Complaint Information
Under California Civil Code §1789.3, California users are entitled to the following notice: The Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs may be contacted in writing at 1625 North Market Blvd., Suite N-112, Sacramento, CA 95834, or by telephone at 1-800-952-5210.
20. Changes to These Terms
We may modify these Terms at any time. Material changes will be communicated by email or a prominent notice on the Site. The "Last Updated" date at the top reflects the most recent revision. Your continued use of the Site after changes take effect constitutes acceptance of the updated Terms.
21. General
Entire Agreement. These Terms, together with our Privacy Policy and any other policies referenced here, constitute the entire agreement between you and True North Granola regarding the Site and our products.
Severability. If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in effect.
No Waiver. Our failure to enforce any provision is not a waiver of that provision.
Assignment. You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, financing, or sale of assets.
Headings. Section headings are for convenience only and do not affect interpretation.
No Third-Party Beneficiaries. These Terms do not create third-party beneficiary rights.
Notices. We may give notices by email, by posting on the Site, or by any other reasonable means. You may give notices to us at info@truenorthgranola.com.
